Aktionäre erhalten 11,45 Dollar je Aktie plus Zusatzrechte. Nach 11 Jahren an der Börse verschwand das Unternehmen am 28. August 2025 für immer aus dem Nasdaq – gekauft von der Private-Equity-Gesellschaft Sycamore Partners für 23,7 Milliarden Dollar. Was folgt, ist eine radikale Zerschlagung in fünf separate Firmen. Die Übernahme beendet nicht nur die Börsengeschichte eines 125 Jahre alten Traditionsunternehmens, sondern markiert auch eine tektonische Verschiebung im amerikanischen Apothekenmarkt. Aus der ehemaligen Walgreens Boots Alliance entstehen fünf eigenständige Unternehmen: Walgreens, The Boots Group, Shields Health Solutions, CareCentrix und VillageMD. Management-Revolution noch am Übernahmetag Sycamore Partners wartete keine Zeit ab: Noch am Tag der Übernahme wurde Mike Motz, ehemaliger CEO von Staples US Retail, als neuer Chef von Walgreens installiert. Zusätzlich erhielten sie nicht übertragbare „Divested Asset Proceed (DAP)“-Rechte, die bis zu 3 Dollar pro Aktie wert sein könnten – abhängig von der künftigen Monetarisierung der VillageMD-Beteiligungen. Der letzte Handelstag war der 27. August 2025, als die Aktie gegen 19:50 Uhr im nachbörslichen Handel gestoppt wurde. Am 29. August verschwand WBA endgültig vom Nasdaq. Der Schlusskurs von 11,98 Dollar war ein schwacher Abschied für eine Aktie, die 2015 noch bei 66,35 Dollar notierte. Private Equity als Rettungsanker?
